BY-LAWS OF THE ROTARY CLUB OF NEW CARLISLE, OHIO



ARTICLE I
Election of Directors and Officers


    SECTION 1 - At a regular meeting one month prior to the meeting for election of officers, the presiding officer shall ask for nominations by the members of the club for president,
president-elect, secretary, treasurer and members of the Board of Directors.  Vocational Service and Club Service Directors are to be elected in even years and take office the following July 1; International Service and Community Service Directors are to be elected in odd years and take office the following July 1.  The nominations will be presented by a nominating committee or by members from the floor.  The nominating committee shall be appointed by the president and shall consist of the president, immediate past president and one additional member.  The nominations shall be placed on a ballot in alphabetical order under each office and shall be voted for at the annual meeting.  The candidates receiving a majority of votes shall be declared elected for their respective offices.  The terms of office for the president, president-elect, secretary and treasurer shall be for a one year period.  The secretary and treasurer may be re-elected to that office.  The five directors-at-large and sergeant-at-arms shall be elected to a one year term.

    SECTION 2 - The Board of Directors shall consist of the following members: president, president-elect, immediate past president, secretary, treasurer, vocational, club, international, and community service directors, sergeant-at-arms, and the five directors-at-large.

    SECTION 3 - A vacancy in the current Board of Directors or any office shall be filled by appointment of the president and ratification by a majority of the Board of Directors.

    SECTION 4 - A vacancy in the position of any officer-elect or director-elect shall be appointed by the president-elect and approved by a majority vote of the Board of Directors.


ARTICLE II
Board of Directors


    SECTION 1 - The governing body of this club shall be the Board of Directors, elected in accordance with Article I, Section 1 of these by-laws.


ARTICLE III
Duties of Officers


    SECTION 1 - President.  It shall be the duty of the president to preside at meetings of the club and board and to perform such other duties that ordinarily pertain to this office.

    SECTION 2 - President-Elect.  It shall be the duty of the president-elect to preside at meetings of the club and board in the absence of the president and perform such other duties that ordinarily pertain to this office.

    SECTION 3 - Secretary.  It shall be the duty of the secretary to keep the records of membership, record the attendance at meetings, send out notices of meetings of the club, board and committees, record and preserve the minutes of such meetings, make the required reports to Rotary International, including the semi-annual reports of membership, which shall be made to the general secretary of Rotary International on January 1 and July 1 of each year, the monthly report of attendance at the club meetings which shall be made to the district governor immediately following the last meeting of the month, collect and remit to Rotary International subscriptions to THE ROTARIAN, and perform such other duties as usually pertain to his office.

    SECTION 4 - Treasurer.  It shall be the duty of the treasurer to have custody of all funds, accounting for same to the club annually and at any other time upon demand by the board and to perform such other duties that pertain to his or her office.  Upon his or her retirement from office he or she shall turn over to the successor or to the president all funds, books of accounts or any other club property in his or her possession.

    SECTION 5 - Sergeant-at-Arms.  It shall be the duty of the sergeant-at-arms to make certain the meeting place is properly prepared by posting the outside sign and the positioning of tables, supplies and equipment, to ensure an orderly meeting; then, the removal of these items to storage after the meeting, to collect fines only as directed by the presiding officer and to perform such other duties as usually pertain to his office.


ARTICLE IV
Meetings


    SECTION 1 - Annual Meeting.  An annual meeting of this club shall be held on the first Tuesday of December in each year at which time the election of officers and directors to serve for the ensuing year shall take place.

    SECTION 2 - Weekly Meetings.  The regular weekly meetings of this club shall be held on Tuesday at 12:00 noon.  Due notice of any change in or canceling of the regular meeting shall be given to all members of the club.

    SECTION 3 - Quorum of Club.  One-third of the membership shall constitute a quorum at the annual and regular meetings of this club.

    SECTION 4 - Board Meetings.  Regular meetings of the board shall be held on the second Monday of each month at 12:00 noon and shall be open to all members.  Special meetings of the board shall be called by the president, whenever deemed necessary, or upon the request of two members of the board.  Due notice is to be given at a regular club meeting or by phone call to all members prior to special meeting.

    SECTION 5 - Quorum of Board.  A majority of the board members shall constitute a quorum of the board.


ARTICLE V
Fees and Dues



    SECTION 1 - Initiation Fee.  The initiation fee is $35.00.  The fee shall be paid after the acceptance of the applicant as a member of club.

    SECTION 2 - Membership Dues.  The membership dues shall be payable quarterly on the first day of July, October, January and April, with the understanding that such dues shall include: subscription of THE ROTARIAN magazine, Rotary International dues, District dues and luncheon expense.  The fee for the preceding is $155.00 per quarter.  The fee is determined by the board and approved by the vote of the membership.

    SECTION 3 - New Member Dues.  New member dues shall be a prorated amount determined by the meeting dates remaining for that quarter. 


ARTICLE VI
Method of Voting



    SECTION 1 - Voting Method.  The general business of this club shall be transacted by vote or ballot as determined by the presiding officer, with exception of election of officers and directors which shall be only by ballot.
 

ARTICLE VII
Committees



    SECTION 1 - Standing Committees.  The president may, subject to the approval of the board, appoint the following standing committees:
                    Club Service Committee
                    Community Service Committee
                    International Service Committee
                    Vocational Service Committee

    SECTION 2 - Committee Assignments.  The president may, subject to the approval of the board, appoint such committees on particular phases of club service, community service, international service, and vocational service as he or she may deem necessary.

    SECTION 3 - Committee Members.  The club service, community service, international service, and vocational service committees shall consist of a chairperson, who shall be elected as a director at the annual meeting, and of not less than two other members.

    SECTION 4 - Sub Committees.  The president may, subject to the approval of the board, appoint other committees that he or she may deem necessary for admission of club affairs.

    SECTION 5 - Continuity of Membership.  Where feasible and practicable in the appointment of club committees, there should be provision for the continuity of membership, either by appointing one or more members for a second term or by appointing one or more members to a two-year term.  (No member shall be eligible to serve on the same committee for more than two successive years, except as otherwise specifically provided in these by-laws or in such case as no other member elects to serve on a committee.)

    SECTION 6 - President as ex officio member.  The president shall be ex officio a member of all committees and, as such, shall have all the privileges of membership thereon.

    SECTION 7 - Committee Work.  Each committee shall transact such business as is delegated to it by the president or the board.  Except where special authority is given by the board, such committees shall not take action until a report has been made to the board and approved by the board.


ARTICLE VIII
Duties of Committees



    SECTION 1 - Club Service Committee.  This committee shall devise and carry into effect plans which will guide and assist the members of this club in discharging their club responsibilities and duties.  This committee will be responsible for club social activities, club membership, club meeting procedure and procedures, and public relation matters.  The chairperson of the this committee shall be for the club service activities of the club and shall supervise and coordinate the work of any committees that may be appinted on particular phases of club service.

    SECTION 2 - Community Service Committee.  This committee shall devise and carry into effect plans which will guide and assist the members of this club in discharging their responsibilities in their community relationships.  The chairperson of this committee shall be responsible for the community service activities of the club and shall supervise and coordinate the work of any committees that may be appointed on particular phases of community service.

    SECTION 3 - International Service Committee.  This committee shall devise and carry into effect plans which will guide and assist the members of this club in discharging their responsibilities in matters relating to international service.  The chairperson of this committee shall be responsible for the international service activities of the club and shall supervise and coordinate the work of any committees that may be appointed on particular phases of international service.  Committee responsibilities will include: outreach programs, Rotary Foundation, and will supervise foreign student exchange programs.

    SECTION 4 - Vocational Service Committee.  This committee shall devise and carry into effect plans which will guide and assist the members of this club in discharging their vocational relationships and in improving the general standards of practice in their respective vocations.  The chairperson of this committee shall be responsible for the vocational service activities of the club and shall supervise and coordinate the work of any committees that may be appointed on particular phases of vocational service.  Committee responsibilities will include: club programs and club scholarships related to the public school district in the club's service area.
